1. Acceptance of Terms
By accessing or using the softlive.ae website ("Site") or any of our services, you agree to comply with and be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Site or services.
These Terms constitute a legally binding agreement between you ("User", "Client", or "you") and softlive.ae ("we", "us", or "our"), a company operating under the laws of the United Arab Emirates.
2. Description of Services
softlive.ae provides the following professional services:
- Software Development: Custom web applications, business software, and digital platforms
- IT Consultancy: Technology strategy, infrastructure assessment, and digital transformation advisory
- Management Consultancy: Business process optimization and operational advisory services
- Marketing Services: Digital marketing strategy, campaign management, and lead generation
- Design Services: UI/UX design, brand identity, and digital design solutions
- Technical Support: 24/7 technical assistance and specialized support services
Specific terms, deliverables, timelines, and pricing for individual engagements will be outlined in separate service agreements or statements of work ("SOW").
3. Eligibility
To use our services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal authority to enter into a binding contract
- Not be prohibited from receiving services under applicable laws
If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
4. User Obligations
When using our services, you agree to:
- Provide accurate, current, and complete information as required
- Cooperate with our team and provide timely feedback, materials, and approvals
- Use our services only for lawful purposes
- Not use our services to infringe on third-party rights or violate applicable laws
- Not attempt to gain unauthorized access to our systems or data

5. Intellectual Property
5.1 Our Intellectual Property
All content on the softlive.ae website — including text, graphics, logos, icons, images, and software — is the property of softlive.ae and is protected by UAE and international copyright, trademark, and intellectual property laws.
5.2 Work Product
Unless otherwise agreed in writing, upon full payment for services, the deliverables specified in the relevant SOW will become the property of the client. softlive.ae retains the right to use non-confidential work for portfolio and marketing purposes unless explicitly restricted in writing.
5.3 Pre-existing Materials
Any tools, frameworks, methodologies, or software owned by softlive.ae prior to or developed independently of the engagement remain the exclusive property of softlive.ae. Clients receive a non-exclusive license to use such materials solely as incorporated into the delivered work product.
6. Payment Terms
- Payment terms will be specified in individual service agreements or proposals
- Invoices are due within the timeframe specified therein (typically 14–30 days)
- Late payments may incur interest charges as permitted by UAE law
- All fees are exclusive of VAT and other applicable taxes unless stated otherwise
- softlive.ae reserves the right to suspend services for overdue accounts
- Refunds, if applicable, will be processed according to the terms outlined in the specific service agreement
7. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the course of the engagement ("Confidential Information"). This obligation applies during and after the term of our engagement, and includes:
- Business strategies, plans, and financial information
- Technical data, code, and proprietary processes
- Client data and personal information
This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.
8. Disclaimers
Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, softlive.ae disclaims all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability and fitness for a particular purpose
- Guarantees regarding the accuracy, completeness, or reliability of any content or advice provided
- Uninterrupted, error-free, or virus-free service
We do not guarantee specific business results from our consultancy or marketing services.
9. Limitation of Liability
To the maximum extent permitted by UAE law, softlive.ae shall not be liable for any:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from third-party actions or integrations
Our total aggregate liability to any client in connection with any claim arising from services provided shall not exceed the total fees paid by that client in the three (3) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless softlive.ae and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or relating to:
- Your use of our services in violation of these Terms
- Your violation of any third-party rights
- Content or materials you provide to us that infringe any law or third-party rights
11. Termination
Either party may terminate a service engagement with written notice as specified in the applicable service agreement. softlive.ae reserves the right to suspend or terminate access to services immediately if:
- You breach any provision of these Terms
- Payment obligations are not met
- We reasonably believe continued service poses legal or reputational risk
Upon termination, all outstanding payment obligations remain due, and any licenses granted to you will cease immediately.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Dubai, without regard to its conflict of law provisions.
13. Dispute Resolution
In the event of a dispute arising from or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of written notice.
If the dispute is not resolved through negotiation, it shall be submitted to the competent courts of the Emirate of Dubai, UAE. For international clients, disputes may alternatively be resolved through binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC).
14. Amendments
softlive.ae reserves the right to modify these Terms at any time. We will provide notice of material changes by:
- Updating the "Last Updated" date on this page
- Sending email notification to active clients
- Posting a notice on our website
Continued use of our services after such changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must cease using our services.
